    e are one of the leading practioner in capital market / securities area in Bangladesh.

     

     

    We assist participants in the securitisation market (including asset originators, lead managers, credit enhancers, trustees and rating agencies) to develop securitisation techniques and find new ways to solve problems in securitisation to enable innovative transactions to be successfully completed.

    Our Capital Market practice started in 1996 when Doulah & Doulah finalized an international transaction i.e. Custodian Agreement between Nomura International, UK and Standard Chartered Bank, UK. In the same year Doulah & Doulah performed a feasibility study and formulated the necessary guidelines for Dutch based Van der Heijden Group’s local subsidiary International Basics for its Initial Public Offering (IPO) followed by completion of regulatory requirements. Since then we are advising on IPOs and other capital market related issues on regular basis.

    Besides advising local companies, our excellence is the areas became more dominant when we were appointed by some of worlds leading Investment Corporations to advise them in investing the funds in local capital market on regular basis. A few of those are given as follows:

    SOME OF OUR RECENT WORKS

    I. CITIGROUP
    We have been appointed Citigroup Global Market Holdings Inc. ("CGMHI") entering into various OTC equity derivative transactions with counterparties over Bangladeshi underlying shares, especially on equity derivative transactions in the issue of market access products and capital market. We are assisting them in such matters since 2005.

    II. MORGAN STANLEY
    We were first appointed by Morgan Stanley entity incorporated in England ("MSIL") to acquire a USD loan granted by a Hong Kong Lender to Oras Investment Ltd with the Lender granting a new USD loan to the Borrower to refinance the Existing Loan in 2005. Followed by the successful completion of the assignment we were appointed by Morgan Stanley in 2007 to make a detailed guideline for them on all the aspects of Capital Market Investments in Bangladesh. After facilitating Morgan Stanley to complete a custodian agreement with a Bangladeshi custodian we are a regular advisor to Morgan Stanley’s Asian concern in Hong Kong.

    III. E*TRADE SECURITIES
    We have been appointed by the US based house for necessary local support since 2005

     

    IV. ABN AMRO BANK
    From 2008 Doulah & Doulah has been working for ABN AMRO Bank in Bangladesh on Capital Market Issues and hedging agreements with Standard Bank, Bangladesh.


    BANGLADESH BANK TRANSACTION

    In 2005 we were appointed by an international merchant bank for study the feasibility of investing the idle funds lying with Bangladesh Bank, the central bank of Bangladesh in international capital markets. The assignment we completed needed in depth analysis of Bangladesh Banking & Securities Laws.

    MARKET ASSESSMENT

    On the basis of our good acquaintance with Capital Market in Bangladesh and other related areas we have been awarded three multi-aspect contract in Bangladesh both including evaluation of Bangladesh Capital market rules and regulations as follows.
